Major Changes in 1994
 Awarded grant funding to port its KBVision
software from work stations to personal
computers (PCs).
 Use of PCs was quickly displacing work stations
in the imaging market.
 AAI had imaging technology but no staff with PC and Microsoft
Windows experience.
 Needed a partner who had complementary technology.

1994, AAI meets Bruno Lay
 Bruno was luncheon speaker at major industry conference & expo
in Orlando, Florida, where he announced:
Had resigned as president of Noesis SA, AAI’s main competitor at that time
 Planned to start a new company to develop powerful new imaging
software for personal computers.

 Bruno & AAI met after the luncheon to discuss common goals.

1995 – An Alliance Was Born
 During their discussion, Bruno and AAI discovered:
Had very similar market strategies & goals
 Had complimentary resources

• Technology, staff, funding
By forming an alliance, there would be one less
competitor in a small, but growing market segment
 Agreement in concept was reached


ADCIS Formation – Corporate Structure
 Bruno and AAI formed ADCIS in July 1995
Interlocking boards and management
 Bruno as majority shareholder (59%), AAI (33%), and 11 other
investors (8%)
 ADCIS Board of Directors

• Bruno Lay, Chair & President
• Richard Kretschmann, AAI’s President
• Jean Claude Klein, Ecole des Mines Professor

Bruno became AAI’s VP of Marketing & Sales, splitting his time between
Amherst, MA, and France

ADCIS Formation – Product Development
 Product development structure
ADCIS – Graphical user interface, mathematical morphology algorithms
license from Ecole des Mines
 AAI – Port of AAI’s KBVision libraries and utilities

 Software developers made several trips across the Atlantic to
assure development was closely coordinated, in both directions.
 Mutual respect fostered close cooperation between the two
engineering teams.

 Marketing Split

 AAI – North & South America & the Pacific Rim

 Equal ownership of the software with a cross-royalty agreement.
 Market and ownership shares were adjusted over time based on
pragmatic factors.
 Today, ADCIS owns the software and AAI has become the North
America distributor for ADCIS.
