PIP – the “No Network” network
• PIP (Peer Interchange Protocol) is a self-maintaining Ad-Hoc network
protocol with no management overhead, automatically recognizing PIP
users and applications as they join and leave each Hot Spot. Secure Hot
Spots similarly require a Wi-Fi Password and then you are Ready-to-Go.
• PIP uses User Datagram Protocol (UDP) Transport Layer, the lowest
overhead member of the Transport Layer in the Internet Protocol Suite.
• PIP transparently scales to match local network capacity. UDP
broadcast of Video & Separate Audio Channels for Language etc.
• PIP supports Private & Secure Channels, with HIPAA level encryption if
required, to allow separate & simultaneous operation on the same Wi-Fi
network!

PIPme, a PIP Compliant
Application
• The entry-level PIPme is a FREE chat client from 1stWorks delivering
real-time local communication within any Wi-Fi network. It lacks the
ability to send Private Messages & Pictures -enticing people to spend
$1.99 to add this premium feature. Advertising of premium features and
purchased Ad space is included.
• When the PIPme application senses a Wi-Fi Hot-Spot, it automatically
broadcasts a UDP packet announcing its presence and potential
participation in that Hot Spot to all active PIP compliant users.
– The simplicity of PIP is that any 2 or more PIP compliant
Clients connected to any Wireless Access Point create their
own Ad-Hoc Network without a Server or Internet

You are at an NCAA Final Four playoff game. You turn on your iPhone or any
PDA and see 814 other PIPme Clients and 8 PIPme Servers on-line. Let’s
see… 3 of the Servers are Video Feeds from midcourt and the 2 key holes. 1
has Game & Player stats up to the second. 1 allows you to order a beer, hotdog
and sweatshirts. Another is selling tickets to more of the games. Another
Unicasts the Play-by-Play in 7 languages. The last is a SuperSeller licensed by
the Stadium advertising their goods at discount.
You slide to the “PIP Chatter” Pane and you are now watching a stream of text
messages by other ticketholders, coaches, press, etc. Text in “Can’t believe he
missed that! You see your friend Mark412R in the list and send him a Private
Message to meet you for drinks at the club after the game. He’s coming!
Darn, I didn’t even know he had seats.
And ALL of this data has stayed within the Wireless Hotspot.

Talking Points
• As Twitter is the Stream of Social Consciousness of the
Web broken down by subject, etc., PIP Chatter is the
Stream of Consciousness for a LOCATION, connecting any
local community of users who are joined to individual
Wireless Hot Spots of the Web or even non-Cloud Wireless
Access Points. GPS’s in phone could activate personal
billboards or indicate location within the venue to 3 feet.
• To return to the Mall example, communication is a two way
street. Beyond individual users, stores with the PIPme
Message Manager server side application can broadcast
promotional messages, offer specials, etc. to any user
entering their network range and all any user needs to
receive that information is a PIPme enabled device.

Potential for “Misapplications”
• GOOD- Don’t have a hot-spot at the local Classic Car
Drive-In??... Not a problem. Grab any Wi-Fi Access Point,
plug it in to the car’s cigar lighter and YOU are the network,
Internet not required !
• BAD- Because, like Twitter, these Ad-Hoc networks are
not moderated… Abuses like Selling Drugs, Prostitution,
and posting hateful messages or obscene pictures are all
possible. We will stress user moderation where any user
that deems a post to be inappropriate can swipe it and
delete the post on ALL connected users’ screens.

company, 1stWorks already has the core team and
functional capabilities in place to deliver PIPme.
• The model and revenue projections which follow are
necessarily conservative however, PIPme is a platform
which can scale virally in the user community, like Twitter,
while also generating revenue from Corporations on the
server side and in OEM markets.
• Twitter claims it is the evolution of mobile messaging, not
replacing SMS, IM, or email but introducing a new public
dimension. PIPme is the local networking complement.

How do we get there??
Investment
• The Current 1stWorks (Subchapter-S) valuation since 2006 is ~ $13M or
$10/share with the last >$500K invested at that valuation.
1. Not being greedy… We are soliciting $1M at that valuation which
amounts to about ~8.5% of the company in order to bring the core
products to a deliverable state. With this investment, we will include a
10% payback on Net PIPme product sales for the full $1M at which point
you still own the stock at zero cost basis. This investment also gives you
1 seat on the Board of Directors (currently 2).
2. Additionally, we will offer the existing shareholders the ability to sell a
percentage of their shares to you at $10/share amounting to 130,000
shares for an additional $1.3M or 10% of the company as this is a nondiluting stock transaction.
3. If you take options 1 & 2 above, we will give you a 9 month option to
purchase an additional 260,000 treasury shares at $20 / Share.
