Amendment Procedure
 Amendments to these Bylaws may be made by a proposal by the Board of
Directors, which shall be submitted to the Active Membership for approval. A
majority of the Active Members voting where a quorum is satisfied, either at a
meeting or by ballot, must approve the proposed amendments.

 Change to article VI, Section 5 and 6
 Summary:
○ According to corporate regulations, Committees of the Board must include ONLY
Board members
○ Currently the Research Collaborative Committee and Publications Committee are
Committees of the Board
○ In order to allow non-Board members to be part of these committees, the bylaws
need to be modified such that these committees are listed as “other committees”
○ Note: the only change to daily operations of these committees is that final
decisions need to be approved by the Board
